BBZ LIMO END USER LICENSE AGREEMENT

IMPORTANT – READ CAREFULLY: This End User License Agreement (“Agreement”) is a legal agreement between you (referred to as “Licensee” or “you”) and BBZ Limo (“Licensor” or “we”) for the use of the BBZ Limo Invoicing Application (“Application”). By installing, accessing, or using the Application, you agree to be bound by the terms and conditions of this Agreement.

1. LICENSE GRANT:

Subject to your compliance with the terms and conditions of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Application solely for your internal business purposes.

2. INTELLECTUAL PROPERTY RIGHTS:

The Application is protected by copyright and other intellectual property laws. All title, ownership rights, and intellectual property rights in and to the Application, including any content or materials provided with the Application, are owned by Licensor or its licensors. This Agreement does not transfer any ownership rights to you.

3. RESTRICTIONS:

You shall not, and shall not allow any third party to:

a. Copy, modify, or distribute the Application, in whole or in part;
b. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application;
c. Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Application;
d. Use the Application for any illegal, unauthorized, or infringing purposes;
e. Use the Application in any way that could harm, disable, or impair the functionality of the Application or interfere with any other party’s use and enjoyment of the Application;
f. Use the Application to create a competing product or service; or
g. Rent, lease, sublicense, or transfer the Application or your rights under this Agreement to any third party.

4. PRIVACY AND DATA COLLECTION:

Licensor may collect and use personal information as outlined in the BBZ Limo Privacy Policy, which is incorporated by reference into this Agreement. By using the Application, you consent to the collection and use of your personal information as described in the Privacy Policy.

5. SUPPORT AND UPDATES:

Licensor may provide updates, upgrades, or bug fixes for the Application from time to time. Such updates may be automatic or require your consent. Support and updates are provided at Licensor’s discretion and may be discontinued at any time without prior notice.

6. DISCLAIMER OF WARRANTIES:

THE APPLICATION IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE APPLICATION WILL BE ERROR-FREE OR UNINTERRUPTED.

7. LIMITATION OF LIABILITY:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE APPLICATION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. TERMINATION:

This Agreement is effective until terminated. Licensor may terminate this Agreement at any time without notice if you breach any provision of this Agreement. Upon termination, you shall cease all use of the Application and destroy all copies of the Application in your possession or control.

9. GOVERNING LAW AND JURISDICTION:

This Agreement shall be governed by and construed in accordance with the laws of New York. Any legal action or proceeding arising out of or relating to this Agreement shall be exclusively brought in the courts of New York, and you hereby consent to the personal jurisdiction and venue in such courts.

10. ENTIRE AGREEMENT:

This Agreement constitutes the entire agreement between you and Licensor regarding the subject matter hereof and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.

11. SEVERABILITY:

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.
